Law enforcement’s need to track criminal activity and to uncover illicit hidden funds notwithstanding, individuals, families, and businesses, have a right and necessity to protect themselves against unwarranted intrusions into their personal affairs. This is becoming harder to do in the Information Age and the era of the Patriot Act and the War on Terrorism. So much of our private information is available on the Internet-either at no cost or for a fee-that private citizens, especially business owners and anyone with assets now need more privacy protection than ever.. Nominee Privacy Service
In addition to the Nevada Office Program, FMS also offers a unique service to give you a BIG extra layer of privacy and protection. The names of officers and directors of a corporation are listed in the public records. Many of our clients do not want their personal names to be publicly listed. So, to protect our clients, FMS will assign someone to stand in for you as the officers and directors of your corporation. And, though you have chosen to have nominee officers for your corporation, you remain in control.
As a majority stockholder, you can always vote the nominee officers out of the corporation. In addition, your nominee officers do not touch any funds associated with the corporation. You can retain the signature authority over all accounts. Your nominees do not have access or signature authority over any corporate account. They simply fulfill the legal requirement for a corporation to have one or more listed officers.
Privacy is one feature Nevada offers that no other state in the country can match. And, aside from tax savings and liability protection, privacy is one of the primary motivating factors that people from all over the world incorporate in Nevada.
Nevada does not require disclosure of information about corporate ownership, stock, or capital. Therefore, individuals can maintain a low profile about business matters and personal assets.
Although Nevada wants the name and address of the president, secretary, treasurer and director of a corporation – which can be the same person – the identity of a company’s vice president is not required, facilitating the use of nominee officers.
Officers and shareholders of Nevada corporations seeking privacy can retain FMS Nominee Services Division. Engaging this service lets individuals who desire privacy to maintain confidentiality without relinquishing control of their corporation.
An agreement is signed wherein you hire the nominee officer to list their name as officer on public record rather than you. The nominee files the officers list with their names listed as all of the corporate officers, with the exception of vice president.
The corporations’ bylaws, specific resolutions and usually a declaration of beneficial interest limit the power of the nominee permitting essentially only their filing of the annual list and removing any real power from them. For example, as the majority shareholder, you would reserve the right as the only signer on the corporate bank account. Since liability can run in both directions, the declaration of beneficial interest protects both parties.
Using professional nominee services puts none of your assets or control of your corporation at risk. The nominee officer does not want to know anything about the company and as shareholder; you possess the power and right to remove the nominee-even retroactively – from their role.
The owner usually serves as a vice-president of the corporation, well positioned to manage the corporations’ affairs through resolution. Also, by articulating in the bylaws of the corporation that in the absence of the president, the vice-president is in control, you are effectively placing yourself behind the privacy veil while overseeing all corporate decisions and activities.
Before a lawsuit is filed against you, it is common practice that the attorney contemplating the lawsuit conducts a search for your assets. Owning assets such as real estate, bank accounts, stock market investments, automobiles, etc. in a corporation or limited liability company may increase the difficulty in locating your assets.
Officer Nominee Services
If total privacy matters, you need this. When we serve as your nominee, your name will never appear in any public record anywhere in association with this corporation. The Nominee Service provides your Corporation with nominee Directors and Officers for filing with the Secretary of State. The purpose of this is to protect your privacy. Officers and Directors names that are filed with the Secretary of State become public record.
On the other hand, by using a Nominee Service, your name does not appear on your corporations paperwork and is NOT public record. Because Nevada only requires the list of officers be filed and/or updated only once a year, your nominee officers can resign after 30 days, naming you as President, Secretary, Treasurer and Director.
The Nominee Service is very powerful if your goal is to achieve corporate privacy, as your name will not appear on the public record of the Secretary of States websites that would associate your name with the corporation.
The Nominee Tax ID Number Service (No Social Security Number required )
This service can only be used with the Nominee Service. All new entities MUST obtain a Federal Tax Identification number, which typically requires that you provide your social security number. With this service, we will provide a social security number on your behalf, which will provide you with the ultimate “invisibility” that, can be critical for asset protection. Employing this and Nominee Service will pay for itself when an attorney pursuing a potential lawsuit performs an asset search with your social security number and finds nothing.
